Delivery of one (1) copy of the fully executed composer agreement and proof of payment of any fees paid to such composer. For the original music in the Picture, the composer agreement must convey to the Licensor the right to use the music, lyrics or recordings, as applicable, in the Picture and, if applicable, any special features or trailers, in whole or in part, in and out of context, in all media now known or hereafter devised, throughout the Territory in perpetuity without payment of any further compensation for the grant of such rights in all media now known or hereafter devised subject only to payment of fees to applicable performing rights societies. Such composer agreement must also contain a warranty of originality and an indemnity against third party claims for all composed music or a separate document will be needed to that affect.
