Certificates of Insurance in form and substance acceptable to Distributor’s insurance carrier, naming Fox Corporation, Mar Vista Entertainment, LLC, its parents and its respective subsidiaries and affiliates, and each of their managers, officers, directors, shareholders, employees, agents, attorneys, successors and assigns as additional insured and loss payees on the production package and general liability insurance policies for the Picture.

You shall maintain or cause to be maintained for the duration of the business relationship or through the end of post-production, whichever is longer, insurance that meets or exceeds the types and limits noted below for claims, damages and demands including legal defense costs and fees which may arise from or in connection with the CONTRACT, PRODUCTION, PREMISES, OPERATIONS, PERFORMANCE OF WORK, PRODUCTS PROVIDED, SERVICES PROVIDED, (“Products”). The insurance limits for sections A, B & C may be met in conjunction with an Umbrella or Excess liability policy.
A. Commercial General Liability insurance with coverage including, without limitation, bodily injury, property damage, personal injury, advertising injury, contractual liability, independent contractors, premises/operations and products/completed operations with limits of not less than $5,000,000 each occurrence and $5,000,000 in the aggregate;
B. Automobile Liability insurance covering all owned, non-owned and hired vehicles with a combined single limit for bodily injury and property damage of not less than $5,000,000 per accident;
C. Workers’ Compensation insurance covering all personnel employed directly by you in compliance with appropriate federal and state laws, and Employers’ Liability Insurance with limits of not less than $5,000,000 per person and $5,000,000 per accident or disease in the relevant jurisdiction. EXEMPT INDIVIDUAL(S) [1] MUST SIGN A SEPARATE WORKERS’ COMPENSATION WAIVER OF LIABILITY (Exhibit B). If crew, employees, and/or cast members are covered using a third-party Payroll Service Company or Professional Employer Organization (PEO), evidence of insurance in this section is required from these service providers;
D. Production / Entertainment Package[2] insurance with coverage including, without limitation, (a) Negative Film and video (including digital files and sound materials), with limits not less than the gross production budget, (b) Faulty Stock, camera or processing, with limits not less than the gross production budget, (c) Props, Sets, and Wardrobe, with limits not less than each budgeted item, (d) Miscellaneous Equipment, with limits not less than each budgeted item, (e) Extra Expense coverage, with limits not less than $2,000,000, (f) Third-Party Property Damage liability, with limits not less than $2,000,000 and (g) Automobile Physical Damage with limits not less than the actual cash value of all owned, non-owned and hired vehicles (h) Cast Coverage against Products losses arising from the death, injury, or illness of a declared artist, with limits not less than the gross production budget.
E. Additional Insurance[3] as needed with coverage including without limitation, Aviation, Marine, Railroad Protective, and Guild Travel which may be necessary in connection with the Products.

[3] Subject to separate insurance requirements if the following are to be used in connection with the Products: aircraft, watercraft, trains, or union international travel.
All the above required insurance shall: (i) contain an endorsement (blanket acceptable) including Fox Corporation, Mar Vista Entertainment, LLC, its parents, subsidiaries, affiliated companies, officers, directors and employees as Additional Insureds (except for Workers’ Compensation);(ii) contain an endorsement (blanket acceptable) with a Waiver of Subrogation in favor of Fox Corporation, Mar Vista Entertainment, LLC, its parents, subsidiaries, affiliated companies, officers, directors and employees; (iii)contain an endorsement (blanket acceptable) stating coverage is primary, not contributory, and not in excess of any other valid or collectible insurance carried by Fox Corporation, Mar Vista Entertainment, LLC, its parents, subsidiaries, affiliated companies, officers, directors and employees; (iv) not include an exclusion for “Cross Liability” or “Severability of Interests”; (v) be placed with companies lawfully authorized to transact business in the jurisdiction the Products are located and a current Best’s rating not less than A- VII; (vi) include coverage for liability and indemnity obligations assumed under this Agreement as an insured contract. The limits of said insurance required by this agreement or as carried by you shall not limit the liability of you nor relieve you of any obligation hereunder; (vii) include that said Additional Insured have access to the limits required by this agreement, or the full limits of the policies, whichever is greater; (viii) not be subject to material modifications except after thirty (30) days prior written notice to Fox Corporation nor be cancelable unless replaced by an insurance policy that meets or exceeds the requirements as specified above; (ix) have all deductibles and/or SIRs be directly responsible by you;
To reiterate, this item cannot be approved for delivery purposes without a certificate that specifically lists Fox Corporation and Mar Vista Entertainment, LLC as additional insureds.
